Terms of service.

1. Agreement
These terms govern access to and use of the DataDam product, the agent data proxy, and the related control plane operated by DataDam, Inc. ("DataDam"). By creating an account, deploying the proxy, or using the control plane, you ("Customer") agree to these terms on behalf of the entity you represent.
For Enterprise and Air-gapped tiers a separate written agreement may control. Where a signed master agreement exists between Customer and DataDam, that agreement controls to the extent it conflicts with these terms.
2. Subscription and access
DataDam is offered on a subscription basis across the tiers published at mydatadam.com/pricing. Each tier includes a monthly limit of governed requests and a defined connector set. Customer may upgrade between tiers at any time; downgrades take effect on the next billing cycle.
Customer is responsible for the integrity of API keys, license keys, and SSO configuration used to access the control plane and the proxy.
3. Data ownership and processing
Customer retains all right, title, and interest in Customer Data. DataDam claims no ownership over the contents of any data source the proxy queries on Customer's behalf.
The proxy runs in Customer's environment with Customer's credentials. The control plane processes only metadata, rollup telemetry, and policy configuration. No query content, row values, or PII flow from the proxy to the control plane. The Data Processing Addendum at mydatadam.com/legal/dpa governs personal data processing where applicable.
4. Customer responsibilities
Customer is responsible for the policies, contracts, blueprints, and overrides configured through the console, and for the consequences of those configurations on downstream agents. DataDam does not author Customer's data contracts.
Customer is responsible for maintaining current backups of any Customer-managed databases used by the proxy (including the proxy's token store) and for the confidentiality of detokenization admin keys.
5. Acceptable use
Customer will not use DataDam to violate applicable law, infringe third-party rights, or perform unauthorized access of data sources Customer does not own or have permission to query. Customer will not attempt to bypass governance enforcement or tamper with the audit log.
6. Service level and support
The control plane is offered with a 99.9% monthly uptime target on Business and Enterprise tiers. Customer-deployed proxy availability is the responsibility of Customer. Support response times are tier-dependent and published on the pricing page.
7. Fees and payment
Subscription fees are billed monthly or annually in advance, in U.S. dollars, by the payment method Customer designates. Overage on metered usage (governed requests above tier limit) is billed at the published per-request rate at the end of the billing cycle.
8. Term and termination
The agreement begins on Customer's first use of the service and continues until terminated. Either party may terminate for material breach with 30 days' notice if the breach remains uncured. Upon termination, Customer will delete the proxy deployment and DataDam will delete control-plane records of Customer Data within 30 days, subject to legal-hold obligations.
9. Confidentiality
Each party will protect the other party's confidential information with the same care it uses to protect its own confidential information of like importance, and not less than reasonable care. The audit log, contract definitions, and policy configurations are Customer's confidential information.
10. Warranties and disclaimer
DataDam warrants that the service will perform materially as described in the documentation. Otherwise, except as expressly set forth, the service is provided "as is" and DataDam disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Each party's aggregate liability under this agreement will not exceed the fees paid by Customer in the 12 months preceding the event giving rise to the claim, except for breaches of confidentiality, indemnification obligations, or willful misconduct.
12. Indemnification
DataDam will defend Customer against third-party claims that the service, used as permitted under these terms, infringes that third party's intellectual property rights, and will pay damages finally awarded or settlements approved by DataDam. Customer will defend DataDam against third-party claims arising from Customer Data or Customer's misuse of the service.
13. Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved in the state and federal courts located in Delaware.
14. Changes
DataDam may update these terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated terms.
